Services Provided

The business of Elite Home Redesign, LLC (herein known as "EHR") is involved in the devising, creating, conveying, implementation and supervision of design solutions to the aesthetic issues relating to interior spaces.

The EHR website and/or email addresses is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the EHR Web Sites and/or email addresses and/or email address constitutes your agreement to all such terms, conditions, and notices.

Additionally, the EHR Web Sites and/or email addresses and/or email addresses may themselves contain additional terms, codes of conduct or guidelines that govern use of those sites, including without limitation, particular features or offers.

In the event that any of the terms, conditions, and notices contained herein conflict with the Additional Terms or other terms and guidelines contained within the EHR Web Site, then these terms shall control.

Recommendations given by EHR are of aesthetic/cosmetic nature only. EHR's consultants do not provide structural recommendations, which should be provided by a qualified building surveyor and/or a structural engineer.

EHR does not give any guarantee that the Client will find buyers or tenants within a specific time or that the value of the property or rental will increase within a specific limit.

Cellars are not included in our consultants' remit and EHR reserves the right to exclude any area which may have unsafe or limited access.

All information provided by EHR is given in good faith.

EHR reserves the right to refuse to undertake any work which in its opinion would be legally fraudulent or illegal or in some way detrimental to its interests.

Appointment and Commencement

All orders must be confirmed in writing prior to the start of work.

The Client should ensure that they are satisfied with the cost effectiveness of recommendations made by EHR before implementing them.

The Client should ensure that the necessary health and safety precautions are in place prior to the start of any recommended work.

EHR may amend the type of goods and services previously recommended in writing, upon agreement with the Client.

EHR shall inform the Client of the date of commencement of work and an estimated completion date. Any date given is an estimate only. While EHR will always endeavour to complete the services within estimated date, EHR shall not be held liable for any delays in completing the services.

EHR will honor all information, suggestions and recommendations given, verbally or in writing for a maximum of 6 weeks from the date supplied.

Payment

All EHR's services are payable as follows: Payment of design fees is due immediately on presentation of invoice. The cost of supplies, goods and material bought by EHR on behalf of the Clients is payable in advance prior to the purchase: services may only commence once payment is fully cleared.

Payment can be made in cash or check with a supporting card, on the basis of being paid on first presentation. The Client will be liable to pay any administrative charges made to EHR for each check returned unpaid (whether or not the check is honored on re-presentation).

The Client is responsible for the payment of third party suppliers introduced or arranged by EHR.

Depending on the location of the property, and upon agreement with the Client, additional charges for travel and accommodation may be payable by the Client. Daily additional travel charges will be payable by the Client for any project lasting 5 days or more. The amount will depend on the location of the property and will be communicated to the Client prior to the start of work.

EHR may charge the Client 5% interest rate above the base rate of the Service Banking should the Client fail to settle any outstanding payment. Interest would apply from the due date until full settlement is received. Should the need arise for EHR to instruct a debt recovery agency or to investigate legal proceedings, the Client will be liable for any costs so incurred.

Elite Home Redesign, LLC Commitments

EHR will supply goods and material of reasonable quality and which are adequate for their purpose.

In the case of project coordination, EHR will keep the Client informed on an on-going basis of accruing costs and will not exceed agreed budgets without the prior written agreement of the Client.

EHR will provide all services using reasonable care and skill.

EHR will inform the Client of any necessary changes to services or goods prior to completion.

EHR will use any personal information in accordance with all applicable laws.

Clients' commitments

The Client shall give access to the property, at all reasonable times, to EHR's consultants or representatives, sub-contractors and suppliers for the purpose of providing services, goods and material.

The Client shall have in place adequate home content insurance to cover any and all items provided to the Client by EHR on a temporary basis. Any damage to or missing items must be reported in writing within 48 hours.

The Client shall ensure that water and electric supplies are available at the property to carry out services at no extra cost to EHR.

The Client is liable for any loss or damage to any goods, materials, tools or equipment delivered to or stored at the property unless EHR's representatives or suppliers fail to take reasonable care. EHR is not liable for any missing or damaged items after delivery and installation.

The Client may use his or her own contacts and suppliers. If EHR introduce third party suppliers, tradespersons or other specialists to the Client, the Client will form a direct contract with the third party and be responsible for the contractual relationship and all payments due to the third party.

If project co-ordination is requested by the Client, the Client will remain responsible for all financial aspects and full settlement of all services provided.

Appointment cancellation

No administration charges will apply to the Client if the appointment is cancelled up to 48 hours prior the appointment date & time.

Cancellation made between 48 and 24 hours prior to the appointment date will incur a $125.00 charge to the Client or any other expenses paid by EHR in relation to the appointment (travel, accommodation, goods and deposit to third parties) in excess of $125.00 - whichever is the greater.

Cancellation made less than 24 hours prior to the appointment will incur a $175.00 or any other expenses paid by the Consultant in relation to the appointment (travel, accommodation, goods and deposit to third parties) in excess of $175.00 - whichever is the greater

Termination

The Client may cancel the contract after commencement of the services and will be liable for the payment of all services provided up to the date of cancellation.

Insurance

EHR is fully insured with Limited Liability Company, any certificates for which may be viewed by the Client on request.

LINKS TO THIRD PARTY SITES

The EHR Sites/Services may contain images of and links to third party Web Sites and/or email addresses ("Linked Sites"). The Linked Sites are not under the control of EHR and EHR. is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. EHR is not responsible for webcasting or any other form of transmission received from any Linked Site nor is EHR responsible if the Linked Site is not working appropriately.

EHR is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by EHR of the site or any association with its operators. You are responsible for viewing and abiding by the privacy statements and terms of use posted at the Linked Sites.

Any dealings with third parties (including advertisers) included within the EHR. Sites/Services or participation in promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and the advertiser or other third party. EHR shall not be responsible or liable for any part of any such dealings or promotions.

LIABILITY DISCLAIMER

THE INFORMATION, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE EHR SITES/SERVICES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY MADE TO THE EHR SITES/SERVICES AND TO THE INFORMATION THEREIN. EHR AND/OR ITS RESPECTIVE SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE EHR SITES/SERVICES AT ANY TIME. ADVICE RECEIVED VIA THE EHR SITES/SERVICES SHOULD NOT BE RELIED UPON FOR PERSONAL, MEDICAL, LEGAL OR FINANCIAL DECISIONS AND YOU SHOULD CONSULT AN APPROPRIATE PROFESSIONAL FOR SPECIFIC ADVICE TAILORED TO YOUR SITUATION.

EHR AND/OR ITS RESPECTIVE SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, LACK OF VIRUSES OR OTHER HARMFUL COMPONENTS AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED WITHIN THE EHR SITES/SERVICES FOR ANY PURPOSE. ALL SUCH INFORMATION, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. EHR AND/OR ITS RESPECTIVE SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, TITLE AND NON-INFRINGEMENT.

YOU SPECIFICALLY AGREE THAT EHR SHALL NOT BE RESPONSIBLE FOR UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, ANY MATERIAL OR DATA SENT OR RECEIVED OR NOT SENT OR RECEIVED, OR ANY TRANSACTIONS ENTERED INTO THROUGH AN EHR SITE/SERVICE. YOU SPECIFICALLY AGREE THAT EHR IS NOT RESPONSIBLE OR LIABLE FOR ANY THREATENING, DEFAMATORY, OBSCENE, OFFENSIVE OR ILLEGAL CONTENT OR CONDUCT OF ANY OTHER PARTY OR ANY INFRINGEMENT OF ANOTHER'S RIGHTS, INCLUDING INTELLECTUAL PROPERTY RIGHTS. YOU SPECIFICALLY AGREE THAT EHR IS NOT RESPONSIBLE FOR ANY CONTENT SENT USING AND/OR INCLUDED IN EHR SITE/SERVICE BY ANY THIRD PARTY.

IN NO EVENT SHALL EHR AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, SERVICES PREFORMED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE DHAC ENTERPRISES, INC. SITES/SERVICES, WITH THE DELAY OR INABILITY TO USE THE EHR SITES/SERVICES OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE EHR SITES/SERVICES, OR OTHERWISE ARISING OUT OF THE USE OF THE EHR SITES/SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF EHR OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE EHR SITES/SERVICES, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE EHR SITES/SERVICES.

General

EHR shall not be liable for any failure to provide the service due to unexpected circumstances or circumstances beyond its control.

EHR may use photographs or other type of footage of the property for publicity, advertising or promotion purpose. EHR will not reveal the identity of the property and its owner(s).

Claims for enforcement, breach or violation of duties or rights under this agreement shall be adjudicated under the laws of the State of Maryland, without reference to conflict of laws principles. All other claims, including without limitation claims under or for violation of state consumer protection laws, unfair competition laws, and in tort, shall be adjudicated under the law of your state of residence.

You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Montgomery County, Maryland, U.S.A. in all disputes arising out of or relating to the use of the EHR Sites/Services. You agree that no joint venture, partnership, employment, or agency relationship exists between you and EHR as a result of this agreement or use of the EHR Sites/Services. You agree to indemnify and hold EHR, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the EHR Sites/Services. EHR reserves the right to disclose any personal information about you or your use of the EHR Sites/Services, including its contents, without your prior permission if EHR has a good faith belief that such action is necessary to: (1) conform to legal requirements or comply with legal process; (2) protect and defend the rights or property of EHR. or its affiliated companies; (3) enforce the terms or use; or (4) act to protect the interests of its members or others. EHR.'s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of EHR.'s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the EHR Sites/Services or information provided to or gathered by EHR with respect to such use.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and EHR with respect to the EHR Sites/Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and EHR with respect to the EHR Sites/Services. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
